These Terms & Conditions ("Terms") govern your use of ShipifyAI's website, dashboard, CLI workers, APIs, and all related services. By accessing or using our platform, you agree to be bound by these Terms. Please read them carefully before using our services. ShipifyAI is an automated software delivery platform that orchestrates AI agents across your repositories, task boards, and communication channels. To deliver these services securely and reliably, we collect certain information about you and your projects, as described in our Privacy Policy.
To use ShipifyAI's services, you must be at least 18 years old, or the legal age of majority in your jurisdiction, and capable of entering into binding agreements. By using our platform, you represent that you comply with all applicable laws and regulations in your country of residence and that you are not accessing the service from a region where such use is prohibited. ShipifyAI is not available to residents of sanctioned or restricted territories, and we reserve the right to refuse service to any individual or organization at our sole discretion.
ShipifyAI provides an automated software delivery platform that connects your code repositories, task boards, communication channels, and third-party AI providers into a single workflow. Through our dashboard you can configure projects, manage integration credentials, and provision autonomous CLI workers that pick up tasks, generate code, run tests, and open pull requests on your behalf. The service is delivered through our web dashboard, public API, and the ShipifyAI CLI. Services, features, pricing, and integrations may be updated, modified, suspended, or discontinued at any time, with or without prior notice. We will make reasonable efforts to communicate material changes in advance.
Access to most ShipifyAI features requires a registered account. You must provide accurate, current, and complete information during registration and keep that information up to date. After signing up, your account is subject to a verification process that typically completes within 72 hours. Until verification is complete, certain features may be restricted. ShipifyAI reserves the right to deny, suspend, or revoke account access at any time if information provided is found to be inaccurate, incomplete, or misleading.
You are responsible for the security of your account, including maintaining the confidentiality of your credentials, CLI tokens, 2FA secrets, and backup codes, and for all activity that occurs under your account. You agree not to use ShipifyAI for any illegal purpose, to infringe upon the rights of others, to attempt to gain unauthorized access to our systems or those of third parties, to interfere with or disrupt the operation of the platform, or to circumvent technical limitations or access controls. You also agree to use ShipifyAI in compliance with the terms and policies of any third-party services you connect, including GitHub, Atlassian (Jira), Slack, and your chosen AI providers. You are solely responsible for the configuration of your repositories, allow lists, AI agents, and access scopes, and for any consequences arising from those configurations.
ShipifyAI is currently offered free of charge during our MVP phase. Once paid plans are introduced, we will notify you in advance, and your workers will only become subject to billing after you actively choose and activate a subscription. If you do not activate a subscription by the date we communicate, your workers will simply stop running — no charges will ever be applied without your explicit consent. Once paid plans are active, fees are charged on a per-worker basis according to the plan you select, with changes to active plans taking effect at the end of the current billing cycle. You are responsible for ensuring that the payment information you provide is accurate and authorized for the charges you incur.
ShipifyAI is an orchestration platform: you decide which AI providers, repositories, and communication channels to connect, and you are responsible for configuring those tools, granting appropriate access scopes, and complying with the terms of each provider you use. When you connect a third-party AI provider, your tasks and any data sent through your worker flow directly to that provider under their own terms and privacy policy. ShipifyAI does not assume liability for the availability, performance, security, accuracy, output quality, or data handling practices of any third-party tools you choose to integrate. Outages, breaking changes, pricing changes, or policy changes by such providers are outside our control, and any disputes arising from their use should be addressed directly with the relevant provider.
You retain full ownership of your source code, repositories, and any output produced by AI agents acting on your behalf through ShipifyAI. ShipifyAI does not store, mirror, or analyze the source code generated, modified, or read by your workers — code is committed directly to your repository and remains entirely under your control. You acknowledge that AI-generated code may contain errors, security vulnerabilities, or unintended behaviors, and that the responsibility for reviewing, testing, and merging such code rests with you and your team. ShipifyAI provides automation and tooling, not guarantees about the correctness, safety, or fitness for purpose of AI-generated output.
You agree not to use ShipifyAI to develop, test, or deploy malware, ransomware, surveillance tools intended to violate privacy laws, content that infringes intellectual property rights, or any code or service that violates applicable laws or regulations. We reserve the right to investigate suspected violations, suspend access where misuse is reported or detected, and cooperate with law enforcement as required by law.
All content, branding, software, and materials associated with ShipifyAI — including logos, designs, text, documentation, the dashboard, the CLI, and the underlying source code — are protected by copyright, trademark, and other intellectual property laws and remain the property of ShipifyAI or its licensors. You may not copy, reproduce, modify, distribute, or create derivative works from any of ShipifyAI's intellectual property without explicit prior written permission. Unauthorized use may result in immediate termination of access and legal action. This clause does not apply to your own code, projects, or content, which remain exclusively yours.
ShipifyAI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ShipifyAI will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to lost profits, lost data, business interruption, deployment failures, AI-generated defects, breaches caused by third-party providers, or service disruptions caused by network or infrastructure issues. While we strive to provide reliable and secure services, we do not guarantee uninterrupted access, error-free operation, or specific outcomes from automated workflows. Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the amount you paid to ShipifyAI for the service in the twelve months preceding the event giving rise to the claim, or, if no fees were paid, one hundred US dollars (USD 100).
You may stop using ShipifyAI at any time by deleting your account through the dashboard. ShipifyAI reserves the right to suspend or terminate your account and access to the platform, with or without prior notice, if you violate these Terms, misuse the service, fail to pay applicable fees, or engage in activity that we reasonably believe poses a risk to the platform, our users, or third parties. Upon termination, your right to use the service ends immediately. You remain responsible for any obligations or fees incurred prior to termination, and certain provisions of these Terms — including those relating to intellectual property, limitation of liability, and governing law — will survive termination.
ShipifyAI may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or industry standards. Updates become effective upon posting on this page, with a revised "Effective Date." For material changes, we will make reasonable efforts to notify users in advance via email or dashboard notification. Continued use of the service after changes take effect constitutes your acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of laws principles. Any disputes arising from or related to these Terms, your use of ShipifyAI, or the platform itself shall be resolved through the competent courts or arbitration processes within the specified jurisdiction. Where applicable consumer protection law grants you additional rights, nothing in these Terms is intended to limit those rights.
If you have questions about these Terms, please reach out via the contact form on our website.
